Terms & Master Services Agreement

Enterprise licensing, service level agreements, intellectual property rights, and compliance standards for KaryaFlow™.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the KaryaFlow™ website and platform. By executing an Order Form that references these Terms, or by using the Services, you represent that you have the authority to bind your enterprise organization to these Terms.

2. Enterprise Licensing & Usage

Access: Subject to the execution of an Order Form and payment of applicable fees, KaryaFlow grants your organization a non-exclusive, non-transferable, enterprise-wide license to use the platform for internal business operations.

Volume-Based Licensing: KaryaFlow is licensed based on orchestration volume (data throughput and workflow executions) rather than per-seat licensing, as detailed in your specific Order Form.

Acceptable Use: You agree not to use the platform to process illegal, harmful, or illicit data, nor to attempt to reverse engineer, disrupt, or compromise the integrity of the KaryaFlow infrastructure.

3. Service Level Agreement (SLA) & Support

Service availability targets, maintenance windows, and any financial credits for breaches are governed solely by the Enterprise SLA document executed during onboarding, and apply only where that document is in force. No availability commitment is made outside an executed SLA. Support response times are dictated by the severity levels defined in your contract.

4. Intellectual Property Rights

KaryaFlow IP: The platform, its underlying AI models, algorithms, architecture, and the KaryaFlow™ brand are the exclusive intellectual property of KaryaFlow Technologies Private Limited.

Customer IP: You retain all rights, ownership, and intellectual property in your Customer Data. KaryaFlow claims no ownership over the data you process through our orchestration engine.

5. Confidentiality

Both parties agree to protect the other's Confidential Information with the same degree of care used to protect their own proprietary information, using no less than a reasonable standard of care.

6. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, or consequential damages. KaryaFlow's total liability shall not exceed the total fees paid by your organization in the twelve (12) months preceding the claim.

7. Changes to Terms

We may update these Terms from time to time to reflect evolving enterprise requirements and compliance standards. Significant changes will be communicated via email or through the service prior to taking effect. Continued use after changes constitutes acceptance.
